Terms of Service

1. Acceptance of terms

Use of the website or engagement of any service implies full and unconditional acceptance of these Terms. If you do not agree with any provision contained herein, you must refrain from using the site and engaging our services.

These Terms may be periodically modified. The updated version will always be available on this page. Continued use of the site or services after changes are published constitutes acceptance of those changes.

2. Description of services

Panda Devops offers professional technology services including, but not limited to:

• Custom software development (web, mobile, backend).
• Systems consulting and architecture.
• DevOps, cloud infrastructure, and CI/CD services.
• Cybersecurity and security audits.
• Digital transformation and strategic technology advisory.

The scope, timelines, deliverables, and specific conditions of each service are defined in a contract or signed proposal between the parties before the project begins.

3. Contracts and proposals

Every project begins with the issuance of a detailed commercial proposal specifying scope, methodology, timeline, and price. The project is formally approved when the client signs or confirms acceptance in writing.

Changes to the original scope ("scope changes") must be formally requested and may result in price and timeline adjustments, documented via contract addenda.

4. Payments and billing

• Payment terms are specified in each proposal or contract.
• Payments are typically structured in milestones: upfront deposit, intermediate payments on deliverables, and final balance upon project closure.
• Late payments generate a 1.5% monthly late fee on the outstanding balance, unless otherwise agreed in the contract.
• Panda Devops reserves the right to suspend work due to repeated payment failures, with prior written notice of 5 business days.
• All prices are expressed in US dollars (USD) or Honduran lempiras (HNL), as indicated in the proposal.

5. Intellectual property

Project code and deliverables

Upon full payment of the agreed amount, intellectual property of the code and deliverables developed specifically for the client is transferred to the client, unless otherwise agreed in the contract.

Proprietary tools and libraries

Panda Devops may use proprietary frameworks, libraries, and internal tools in development. The client receives an irrevocable license to use such components in the context of the delivered project, but ownership of these tools remains with Panda Devops.

Portfolio and references

Panda Devops reserves the right to mention the client as a reference and describe the project in its portfolio in general terms, unless the client expressly requests otherwise through a confidentiality clause.

6. Confidentiality

Both parties agree to maintain the confidentiality of technical, commercial, and strategic information exchanged during the project and for two (2) years following its completion.

This obligation does not apply to information that is publicly available, lawfully obtained from third parties, or required to be disclosed by law.

7. Limitation of liability

Panda Devops is committed to delivering services with the highest level of quality and professionalism. However:

• We are not liable for indirect damages, lost revenue, or lost profits arising from the use or inability to use developed systems.
• Our maximum liability to the client, under any circumstances, is limited to the total amount invoiced and collected under the specific contract that gave rise to the claim.
• We do not guarantee that software will be error-free under all possible conditions. Detected errors will be corrected within the timeframes and conditions defined in each project's warranty.

8. Acceptable use

By accessing pandadevops.net, you agree not to:

• Attempt to gain unauthorized access to the Company's systems or data.
• Post or transmit illegal, defamatory content, or content that infringes third-party rights.
• Use automated tools to extract data from the site (scraping) without written authorization.
• Interfere with the normal operation of the site or its servers.

9. Termination

Either party may terminate an active contract under the following conditions:

• By the client: written notice with 15 business days' advance notice. Work completed through the notification date will be invoiced, plus an early termination fee equivalent to 20% of the outstanding value.
• By Panda Devops: in the event of material client breach (non-payment, inappropriate conduct, illegal requests), with prior notice of 10 business days to remedy the breach.

10. Governing law and jurisdiction

These Terms are governed by the laws of the Republic of Honduras. Any dispute that cannot be resolved through direct negotiation between the parties will be submitted to the competent courts of the city of Tegucigalpa, Francisco Morazán, Honduras.
